UBO Definition and Thresholds

Under Saudi UBO regulations, a beneficial owner is any natural person who:

  • Holds or controls (directly or indirectly) 25% or more of the shares or voting rights in a company
  • Has the right to appoint or remove the majority of the board of directors or management
  • Exercises effective control over a company through any other means
  • Is the settlor, trustee, or beneficiary of a trust or similar arrangement that owns a Saudi company
