UBO Registration Saudi Arabia
Ultimate Beneficial Owner disclosure and registration for Saudi companies — Ministry of Commerce UBO filing, beneficial ownership mapping, and corporate transparency compliance.
Saudi Arabia's Ultimate Beneficial Owner (UBO) regulations require all Saudi commercial entities to identify, record, and disclose their ultimate beneficial owners — the natural persons who ultimately own or control the company, directly or indirectly, beyond any corporate ownership layers. The UBO regulations are part of Saudi Arabia's commitment to FATF recommendations and international corporate transparency standards.
Intelli Solutions assists Saudi companies with the complete UBO identification and registration process — mapping beneficial ownership structures, preparing the required Ministry of Commerce UBO declarations, and maintaining the ongoing UBO record-keeping obligations.
UBO Definition and Thresholds
Under Saudi UBO regulations, a beneficial owner is any natural person who:
- Holds or controls (directly or indirectly) 25% or more of the shares or voting rights in a company
- Has the right to appoint or remove the majority of the board of directors or management
- Exercises effective control over a company through any other means
- Is the settlor, trustee, or beneficiary of a trust or similar arrangement that owns a Saudi company
If no natural person meets the above criteria, the senior managing official (CEO or equivalent) is deemed the beneficial owner for registration purposes.
